Syndicat De La Fonction Publique Et Parapublique Du Québec

Between traditional loans and cash advances also exists certain differences and drawbacks, and an outcome of the comparison will show you that MCA easily gets the better of the two as a quick and efficient funding option.

TRADITIONAL BUSINESS LOANS. Quick and easy as a core characteristic of the funding process is appreciated by everyone- big and small companies alike.

Traditional business loans are undeniably lengthy and long processes.

Even loan repayment in traditional loans is riddled with challenges.

Once you take a traditional loan, you must repay even if your business did not receive any beneficial performance from it.

A mobile deposit doesn’t take any longer than a standard check deposit unless there are complications with the image.

Remote Deposit Capture Overview

What is Remote Deposit Capture? Remote Deposit Capture, in its most simple terms, is a service which allows a user to scan checks and transmit the scanned images and / or ACH-data to a bank for posting and clearing.

Checks you receive at your corporate or bank location can be scanned to create a digital deposit.

Checks are then typically provided to the corporation’s treasury area where ABC Corp. prepares a deposit.

With Remote Deposit Capture, instead of physically going to the bank to deposit the checks, ABC Corp. can now scan the deposit ticket and checks using a desktop scanner.

Once the check images are captured, an ACH file and/or an image-based deposit is prepared.

How, then does the bank clear items captured via Remote Deposit Capture? By re-printing the images and clearing those re-printed paper documents! These re-printed checks are called Image Replacement Documents.

Remote Deposit Capture is a “Disruptive” technology process enabled by the passage of the Check 21 legislation, as well as the ability to convert checks into ACH transactions.

Post Idea #4: Special-purpose acquisition company

Special Purpose Acquisition Company Definition

Firstly, a company can go public through the SPAC route in a matter of months, while the conventional IPO process is an arduous process that can take anywhere from six months to more than a year.

Secondly, the owners of the target company may be able to negotiate a premium price when selling to a SPAC because the latter has a limited time window for making a deal.

An investor in a SPAC IPO is making a leap of faith that its promoters will be successful in acquiring or merging with a suitable target company in the future.

Venture capitalist Chamath Palihapitiya’s SPAC Social Capital Hedosophia Holdings bought a 49% stake in Virgin Galactic for $800 million before listing the company in 2019.

In August 2021 reports indicated that Ackman planned to liquidate the SPAC. Why Would a Company Go Public Through a SPAC and Not an IPO?

The owners of a target company may also be in a better position to negotiate a favorable price from a SPAC that has a limited time frame for making an acquisition, compared with another buyer like a private-equity firm, which may drive a hard bargain.

Some of the best-known companies to have become publicly listed by merging with a SPAC are: digital sports entertainment and gaming company DraftKings; aerospace and space travel company Virgin Galactic; energy storage innovator QuantumScape; and real estate platform Opendoor Technologies.

Special Purpose Acquisition Companies: An Introduction

Special Purpose Acquisition Companies are companies formed to raise capital in an initial public offering with the purpose of using the proceeds to acquire one or more unspecified businesses or assets to be identified after the IPO. From the beginning of 2014 through November 30, 2017, almost 80 SPAC IPOs have closed, raising approximately $19 billion in gross proceeds.

The IPO proceeds will be held in a trust account until released to fund the business combination or used to redeem shares sold in the IPO. Offering expenses, including the up-front portion of the underwriting discount, and a modest amount of working capital will be funded by the entity or management team that forms the SPAC. After the IPO, the SPAC will pursue an acquisition opportunity and negotiate a merger or purchase agreement to acquire a business or assets.

If the SPAC needs additional capital to pursue the business combination or pay its other expenses, the sponsor may loan additional funds to the SPAC. In advance of signing an acquisition agreement, the SPAC will often arrange committed debt or equity financing, such as a private investment in public equity commitment, to finance a portion of the purchase price for the business combination and thereafter publicly announce both the acquisition agreement and the committed financing.

SPACs are required to have a majority of independent board members under stock exchange listing requirements, subject to the same phase-in exceptions as are applicable to all newly public companies.

Prior to the closing of the IPO, the SPAC does not have sufficient cash to pay such fees, so the sponsor enters into a promissory note with the SPAC to loan funds to the SPAC until completion of the SPAC’s IPO. The promissory note covers any organizational or offering expenses until the SPAC can repay the loan from the proceeds of the IPO and sale of the founder warrants at the closing of the IPO. Sponsor Constituent Documents.

The sponsor is often a new limited liability company formed solely for the purpose of sponsoring the SPAC. The owners of the sponsor may document their relationship and relative participation in the SPAC, such as the relative amount of the founder warrant purchase price each will fund, and economic ownership of the founder warrants and founder shares in the constituent documents.

Super 8-K. SEC rules require that SPACs file a special Form 8-K within four business days following completion of a De-SPAC transaction.

Special Purpose Acquisition Company

A special purpose acquisition company is a corporation formed for the sole purpose of raising investment capital through an Initial Public OfferingAn Initial Public Offering is the first sale of stocks issued by a company to the public.

A special purpose acquisition company is formed by experienced business executives who are confident that their reputation and experience will help them identify a profitable company to acquire.

The founders provide the starting capital for the company and they stand to benefit from a sizeable stake in the acquired company.

The founders often hold an interest in a specific industry when starting a special purpose acquisition company.

A SPAC floats an IPO to raise the required capital to complete an acquisition of a private company.

At the onset of the SPAC registration, and pay nominal consideration for the number of shares that results in a 20% ownership stake in the outstanding shares after the completion of the IPO. The shares are intended to compensate the management team, who are not allowed to receive any salary or commission from the company until an acquisition transaction is completed.

Thank you for reading CFI’s guide to Special Purpose Acquisition Company.

What Is A SPAC? – Forbes Advisor

A SPAC is a special purpose acquisition company, also frequently called a blank check company.

SPAC IPO. SPACs go through the typical IPO process, although the sponsors don’t publicly identify companies they are eyeing for an acquisition, to avoid a more complicated process with the Securities and Exchange Commission.

A company might choose to go public through a SPAC versus an IPO because the process can be accomplished more quickly, with fewer associated costs and extensive financial disclosure requirements than an outright IPO. The two-year timeframe for SPACs gives sponsors an incentive to find an acquisition target and finalize a deal.

A company may also opt for a SPAC over an IPO to democratize the stock purchasing process.

As with any investment decision, there are pros and cons to investing in a SPAC. Investing in a SPAC amounts to a bet on the sponsors, their reputation and whether a successful deal will happen within two years.

Consider this: In between SPAC IPO and merger, the average return for SPAC investors has been 9.3% per year since 2010, according to figures from a January 2021 Goldman Sachs report.

Consider a SPAC ETF Instead. That’s why you might opt for a SPAC-focused ETF if you’re dead set on SPACs or want to add them to your portfolio for diversification.

Special Purpose Acquisition Companies

Summary: This guidance provides the Division of Corporation Finance’s views about certain disclosure considerations for special purpose acquisition companies, commonly referred to as SPACs, in connection with their initial public offerings and subsequent business combination transactions.

A SPAC is a company with no operations that offers securities for cash and places substantially all the offering proceeds into a trust or escrow account for future use in the acquisition of one or more private operating companies.

Following its initial public offering, or IPO, the SPAC will identify acquisition candidates and attempt to complete one or more business combination transactions after which the company will continue the operations of the acquired company or companies as a public company.

SPAC sponsors, directors and officers may not work exclusively on behalf of the SPAC to identify acquisition targets and they may have fiduciary or contractual obligations to other entities.

As a SPAC nears the end of that timeframe, its options may narrow, giving acquisition targets significant leverage in negotiating the terms of a business combination transaction.

The SPAC sponsors, directors and officers may have evaluated a number of potential acquisition candidates before presenting a business combination transaction to shareholders and they may have interests and incentives that conflict with the interests of public shareholders.

Have you clearly described any conflicts of interest of the sponsors, directors, officers and their affiliates in presenting this opportunity to the SPAC and how the SPAC addressed these conflicts of interest? If the SPAC had a policy to address conflicts of interest and waived any provisions of that policy, have you disclosed the waiver and the reasons therefor? Have you described any interest the sponsors, directors, officers or their affiliates have in the target operating company, including, if material, the approximate dollar value of the interest, when the interest was acquired and the price paid?

Merging And Acquisition Surges In B.C. Tech Industry

Merging Vancouver-based Canexia Health Inc. with Montreal’s Imagia Cybernetics Inc. was “About having the right people at the right time and the right place,” according to Geralyn Ochab.

The Canexia merger is by no means a one-off for B.C.’s tech sector as of late, with experts pointing to mounting macroeconomic pressures ahead serving as a major impetus for the recent surge of M&A activity.

M&A activity over the past month also delivered yet another unicorn to B.C.’s tech ecosystem after D-Wave Systems Inc. inked an agreement with special purpose acquisition company – better known as a SPAC – DPCM Capital Inc. that will see the two entities fall under the umbrella of a newly created parent company: D-Wave Quantum Inc. D-Wave Systems, the original quantum computing firm based in Burnaby, has landed a US$1.2 billion valuation as a result of the deal.

Once the deal is completed, the new company would trade on the NYSE under the symbol QBTS. “Tech has been on a tear over the past two years and, as indicated by the recent Nasdaq correction in the major tech stocks, [is] reaching over-heated territory,” Raffa said.

Another pandemic unicorn, Trulioo Information Services Inc., was on the other side of the action this month, acquiring Danish tech firm HelloFlow ApS. Trulioo declined to reveal the dollar figure attached to the deal, but the Globe and Mail reported it to be worth approximately $50 million.

The tech sector accounted for the most M&A activity across the country, with 140 deals during that same period compared with second-place industrials at 132 deals.

“There is often a symbiosis of sorts between smaller and earlier-stage tech companies as targets and larger companies as buyers. These tech targets bring IP and growth potential, which are leverageable by the acquirers,” he said in an email.

Special-Purpose Acquisition Company

SPACs generally trade as units and/or as separate common shares and warrants on the Nasdaq and New York Stock Exchange once the public offering has been declared effective by the SEC, distinguishing the SPAC from a blank check company formed under SEC Rule 419.

Each SPAC has its own liquidation window within which it must complete a merger or an acquisition.

The target of the acquisition must have a fair market value that is equal to at least 80% of the SPAC’s net assets at the time of acquisition.

To allow for stockholders of the SPAC to make an informed decision on whether they wish to approve the business combination, the company must make full disclosure to stockholders of the target business, including complete audited financials, and terms of the proposed business combination via an SEC merger proxy statement.

What Is Customer Experience: Strategy, Examples, Tips

In short, customer service is just one part of the whole customer experience.

Customer service refers to specific touchpoints within the experience where a customer requests and receives assistance or help-for example, calling an operator to request a refund or interacting via email with a service provider.

Bad customer experience comes in many shapes and sizes, but we noticed a number of commonly-reported issues in our customer experience stats.

Ultimately what counts as poor customer experiences in your business will be unique-and you’ll only learn about it by opening the door to customer feedback, then working to minimize the impact of factors that cause a bad experience for your them.

You’re probably already collecting customer feedback without realizing it: when a customer sends an email, calls customer support, or leaves a review, that’s feedback.

A great customer experience example using NPS. Here is a practical example of what tracking a CX metric and acting on the insight can do for customer experience.

With customer experience kept very much front-of-mind, Taylor & Hart grew their NPS scores to over 80 and annual revenue followed suit and grew to €4.5M. Find more inspiration in these tips from 100+ CX experts on what else you need to deliver a great customer experience.

What Is Customer Experience & Why Is It Important

Typically, when people talk about customer experience they mean traditional sales and marketing touch points along the customer journey.

How we interact with brands has evolved and so too has customer experience.

Customer experience is many things, but it can broadly be described as the perception a customer or a B2B company has of a brand.

Brands who want to increase customer acquisition, customer loyalty, customer engagement and drive growth need to think about delivering more exceptional experiences.

Twenty years ago, the answer to “What is great customer experience?” would have been a straightforward explanation about optimizing touchpoints, mapping out customer journeys, and designing and producing covetable products that customers want.

With all these changes a big question is how important is customer experience in 2021 and beyond? CX has evolved, but that doesn’t mean the importance of customer experience is diminished.

From banking onboarding journeys for new customers to how clothing should be presented online, it’s increasingly difficult for brands to differentiate themselves with customer experience alone.

What Is Customer Experience?

A positive customer experience is crucial to the success of your business because a happy customer is one who is likely to become a loyal customer who can help you boost revenue.

How to Measure Customer Experience Analyze customer satisfaction survey results.

Using customer satisfaction surveys on a regular basis – and after meaningful moments throughout the customer journey – provides insight into your customers’ experience with your brand and product or service.

Customer experience management is the process of surveying, analyzing, and enhancing customer interactions with your business.

Customer experience management is a fundamental component of customer-first strategy because it demonstrates a clear investment in customer needs.

Customer Experience

Some companies are known to segment the customer experience into interactions through the web and social media, while others define human interaction such as over-the-phone customer service or face-to-face retail service as the customer experience.

In 1994 Steve Haeckel and Lou Carbone further refined the original concept and collaborated on a seminal early article on experience management, titled “Engineering Customer Experiences,” where they defined experience as “The ‘take-away’ impression formed by people’s encounters with products, services and businesses – a perception produced when humans consolidate sensory information.” They argued that the new approach must focus on total experience as the key customer value proposition.

Customer experience is the stimulation a company creates for the senses of the consumers, this means that the companies and that particular brand can control the stimuli that they have given to the consumers senses which the companies can then control the consumers reaction resulting from the stimulation process, giving more acquisition of the customer experience as expected by company.

According to Bernd Schmitt, “The term ‘Customer Experience Management’ represents the discipline, methodology and/or process used to comprehensively manage a customer’s cross-channel exposure, interaction and transaction with a company, product, brand or service.” Harvard Business Review blogger Adam Richardson says that a company must define and understand all dimensions of the customer experience in order to have long-term success.

Customer surveys, customer contact data, internal operations process and quality data, and employee input are all sources of “Voice of customer” data that can be used to quantify the cost of inaction on customer experience issues.

By understanding the latter, it is possible to design an optimal experience that meets the expectations of major customer groups, achieves competitive advantage, and supports the attainment of desired customer experience objectives.

Whereas customer experience encompasses the sum of all interactions between an organization and a customer over the entire relationship, sales experience is focused exclusively on the interactions that take place during the sales process and up to the point that a customer decides to buy.

Understanding Customer Experience

Customer experience encompasses every aspect of a company’s offering-the quality of customer care, of course, but also advertising, packaging, product and service features, ease of use, and reliability.

What Customer Experience Is. Customer experience is the internal and subjective response customers have to any direct or indirect contact with a company.

At each touch point, the gap between customer expectations and experience spells the difference between customer delight and something less.

In contrast, executives who rose through finance, engineering, or manufacturing often regard managing customer experience as the responsibility of sales, marketing, or customer service.

Typically a vigorous reaction to intelligence gathered on customer experience requires general management to orchestrate a response to customer problems.

Companies can monitor various patterns of interaction with customers to gain a better understanding of the customer experience they are providing.

Preventing further customer defections, they realized, would require customer experience goals for every stage of the value chain.

Polyhydroxyalkanoate

The biosynthetic pathways associated with the synthesis of PHAs in bacteria involve a specific class of enzymes known as PHA synthases that catalyse the polymerisation reactions.

PHA producing organisms can be classified into two groups, ones that produce PHAs during their growth and others that produce PHAs when grown in a nutrient-limiting condition.

SCL-PHAs tend to be hard, crystalline, and brittle polymers with high melting points whereas MCL- & LCL-PHAs are usually soft and elastomeric with lower melting points compared to SCL-PHAs.Blending two different types of PHAs or PHAs with synthetic or other natural polymers have generated novel biomaterials to suit specific biomedical applications.

With increasing research and development pertaining to large-scale production and optimisation of PHA production costs, the use of PHAs is likely to expand.

Cupriavidus necator is a bacterial strain able to synthesize a high crystalline polymer, poly(3-hydroxybutyrate), the most common of all PHAs; whereas Pseudomonas species produce PHAs with medium chain-length monomers, which exhibit elastomeric properties as natural rubbers.

PHAs with short pendant groups are prone to crystallization but exhibit stiff and brittle behavior, while PHAs with longer pendant groups are ductile.

The wide performance range of PHA copolymers justified additional scientific and industrial interest, which led to the discovery of further bacterial PHAs.

Polyhydroxyalkanoates

Polyhydroxyalkanoates or PHAs are polyesters produced in nature by numerous microorganisms, including through bacterial fermentation of sugars or lipids.

Once the population has reached a substantial level, the nutrient composition is changed to force the micro-organism to synthesize PHA. The yield of PHA obtained from the intracellular granule inclusions can be as high as 80% of the organism’s dry weight.

pBE2C1AB were used in production of polyhydroxyalkanoates and it was shown that they could use malt waste as carbon source for lower cost of PHA production.

PHA synthases are the key enzymes of PHA biosynthesis.

The two classes of PHA synthases differ in the specific use of hydroxy fatty acids of short or medium chain length.

Researchers in industry are working on methods with which transgenic crops will be developed that express PHA synthesis routes from bacteria and so produce PHA as energy storage in their tissues.

A PHA copolymer called PHBV for their development and commercialisation of a cost-effective method for manufacturing PHAs.

Polyhydroxyalkanoates: Opening Doors For A Sustainable Future

Although blending of PHA with starch or SA showed some potential for reducing the production cost and improving the mechanical properties, these blends are brittle and do not form intact films due to the incompatibility between the starch/SA and the PHA matrix.

Cellulose derivatives have attracted a significant amount of interest as blending components with PHA primarily due to their compatibility with PHA and their ability to enhance the degradation of PHA. Zhang et al.15 investigated the miscibility, crystallization and melting behavior and phase morphology of PHB/EC blends.

24 In another study, Saad analyzed the miscibility, melting and crystallization of PHB and oligo-3HB-diol blends using DSC.25 The thermograms of blends that contained 6 wt% oligo-3HB-diol showed behaviors that are characteristic of a single-phase amorphous glass state with a composition-dependent glass transition and depression in the equilibrium Tm of PHB. The negative value of the interaction parameter that was determined from the equilibrium melting depression confirmed the miscibility of the blend components.

The results indicated that the toughness and elongation at break of the blends significantly improved when 10% of PHA was added to PLA, which was attributed to an increase in the amorphous phase of the blends and caused unusually slow crystallization kinetics of finely dispersed PHA particles.

27 Recently, Furukawa et al.33 compared the properties between blends of PHB/PLA and PHBHHx/PLA. The results revealed that both the PHB/PLLA blends and PHBHHx/PLA blends were immiscible, but the PHBHHx/PLA blends were more compatible.

The crystallization temperature of PLA in the PHB/PLLA blend and PHBHHx/PLA blend shifted to a lower temperature and higher temperature, respectively, with an increased PHB or PHBHHx component in the blends.

The mechanical properties of PHBV/PCL blends showed increasing ductility of the blend samples with an increasing amount of PCL.37 Del Gaudio et al.38 developed PCL/PHBV blends using vascular grafts and compared the biological performance with the parent polymers.

Polyhydroxyalkanoates Or PHA

Polyhydroxyalkanoates or PHAs are linear polyesters produced in nature by bacterial fermentation of sugar or lipids.

They can be either thermoplastic or elastomeric materials, with melting points ranging from 40 to 180 °C. The mechanical and biocompatibility of PHA can also be changed by blending, modifying the surface or combining PHA with other polymers, enzymes and inorganic materials, making it possible for a wider range of applications.

Once the population has reached a certain level, the nutrient composition is changed to force the micro-organism to synthesize PHA. PHA is be stored by the micro-organisms.

The PHA can weight as much as 80 % of the organism’s dry weight.

The biosynthesis of PHA is usually caused by certain deficient conditions such as the lack of macro elements and the excess supply of carbon sources.

PHA polymers are thermoplastic; they become liquid at their melting point.

PHAs are soluble in halogenated solvents such chloroform, dichloromethane or dichloroethane.

In particular, the superior high temperature performance of PHAs significantly extends the addressable number of applications for bioplastics, beyond those which can be served by the most common bioplastic PLA. With costs now approaching parity with conventional polymers, overcoming manufacturing challenges is the last major hurdle preventing wide scale adoption of PHAs.

Homopolymers consist of one type of PHA throughout the entire structure – such as pure P3HB or P4HB. Copolymers on the other hand are made up of two or more different PHAs, randomly distributed throughout the structure of the polymer chain.

CH3 P(3HB-co-4HB) OH O produced PHAs are limited to using P3HB and one other PHA as the co-monomer.

A common misconception is that durable products End-of-life considerations are important when considering which applications are suitable for designing with PHA. PHA products can either be designed to enter the natural environment or to be treated in industrial composting facilities.

Post Idea #8: Mortgage origination

Mortgage Originator Definition

A mortgage originator is the original mortgage lender and can be either a mortgage broker or a mortgage banker.

The mortgage originator is the first company involved in the creation of a mortgage.

Mortgage originators consist of retail banks, mortgage bankers, and mortgage brokers.

If the mortgage is not simultaneously sold into the secondary market at the time the borrower locks the interest rate, interest rates could change, which changes the value of the mortgage in the secondary market and, ultimately, the profit the originator makes on the mortgage.

The primary mortgage market is the initial marketplace where the borrower gets together with the mortgage originator, whether a bank, credit union or mortgage broker, to conduct a mortgage transaction.

Since a large percentage of newly originated mortgages are immediately sold into the secondary mortgage market, they might be counted by the institution that purchases the mortgage in the secondary market as an origination, thus double-counting the origination.

Mortgage bankers and mortgage brokers represent two of the most common types of mortgage originators.

What Is The Mortgage Loan Origination Process?

Mortgage origination is the process by which a borrower applies for a home loan, along with all of the stages leading up to the borrower getting the keys to the home.

During this part of the loan origination process, you provide specific financial documents to your lender, as well as undergo a credit check, so the lender can determine if you are a creditworthy borrower.

During the application process, you will receive a loan estimate, a document detailing all of the costs of the loan you applied for.

During loan processing and underwriting, the lender and underwriters assess your information, sometimes called your risk profile, to see how much of a mortgage you can handle and pay back on time.

An origination fee “Is typically a percentage of the loan amount,” Rouse says, and one of the ways lenders cover their costs for handling the loan.

Fairly common is 1 percent – for instance, you’d be charged a $2,000 origination fee on a $200,000 loan – but it can vary from lender to lender and by market.

Note there are different types of lenders – national banks, community banks, credit unions, mortgage brokers, mortgage bankers and online lenders.

Overview, Types, And Duties

A mortgage originator is a person or institution that works with clients and helps them with the completion of a mortgage loan transaction.

The most popular types of mortgage originators are mortgage brokers and mortgage bankers.

A mortgage borrower or applicant connects with a mortgage originator, who then educates themselves on the financial circumstances of the potential borrower by asking questions about the client’s house purchasing needs.

Similar to a mortgage broker, the mortgage originator compiles the documents required for the application process from the client and submits the documentation.

The mortgage originator also assists the client with any issues that may arise due to the potentially negative credit history of the client or other reports that can impact the approval of the mortgage application.

The interest rate fluctuation can impact the value of the mortgage and alter the returns that the originator can derive on the mortgage.

On top of these duties, a mortgage originator administers the loan application process and estimates the rates and pricing related to the mortgage.

Mortgage Origination

In consumer lending, mortgage origination, a specialized subset of loan origination, is the process by which a lender works with a borrower to complete a mortgage transaction, resulting in a mortgage loan.

A mortgage loan is a loan in which property or real estate is used as collateral.

The mortgage origination, a subset of loan origination, is a complex and evolved process that involves many steps, which varies from lender to lender.

Underwriting: determining if the risk of offering a mortgage loan to a particular borrower under certain parameters is acceptable, and includes verification, appraisal, title search and insurance, flood certification, and surveying.

Closing/funding: a settlement agent manages the logistics of providing borrowers final loan documents for review and signing, releasing and wiring the funds, and recording the mortgage at which point the mortgage is official.

Loan Origination System: the platform that takes a completed loan application and facilitates the mortgage transaction from processing to shipping.

Mortgage origination services: Services that are used throughout the mortgage origination process and include appraisal, pricing, flood, fraud, title, and credit checks.

Mortgage Origination Fee: The Inside Scoop

If a mortgage truly has no origination fees, you’ll end up paying a higher interest rate over the course of the loan in most cases.

If the interest rate isn’t any higher, the lender is likely just calling the fee something else, like an underwriting or processing fee.

In many cases, this is exactly what the origination fee is meant to cover, so it’s the same thing.

While most mortgage fees not related to the interest rate that you would get are closing costs, there are others.

You pay for this privilege in the form of a rate lock fee.

Underwriting or processing fees: If you see an underwriting or processing fee instead of an origination fee, it’s an origination fee masquerading as something different.

If there truly is no origination fee – and for the purposes of this discussion, let’s include fees serving a similar purpose that go by a different name in that category – the lender is likely to make up for it by charging you a higher interest rate to make more money on the back end of the loan.

The tracked system helps heavy machinery in minimizing vibration, while the lightweight frame of these vehicles imparts the strength and power needed to self-clean mud, debris, and snow easily.

Tinger Track S500 ATV. This is a multi-purpose off-road vehicle that does the job of five different automobiles – it possesses the snow-resistance of snow mobiles, the amphibious properties of amphibious ATVs, the ability to cross swampy areas like a swamp buggy, toughness against bad terrain like a quad bike, and transportation and work capabilities like a tractor.

These types of vehicles boast enhanced speed over regular ATVs and responsive engine systems.

All of these vehicles are available in the market, and you can compare their specifications and testimonials to get a better idea about the one that will suit your lifestyle.

10 Best All-Terrain Vehicles To Buy

While immensely popular today, purpose-built all-terrain vehicles have only existed for half a century, beginning with the amphibious six-wheeled, balloon-tired Jiger in 1961, roughly a decade before the release of the first-ever mass-produced ATV with the Honda ATC90.

In the years that have followed, these rugged off-road machines have become even truer in name, gaining increasingly competent performance and giving way to vehicles with genuine go-anywhere capabilities.

It’s this group of machines that we’ll be exploring today in this guide to the best all-terrain vehicles.

Traits For Any Terrain The Factors To Consider When Buying An ATV Or SxS. Buying an all-terrain vehicle is a markedly different experience than buying any type of road-going machine, as they are built for drastically different uses.

Ride Height & Ground Clearance: Determined by the suspension setup and chassis, the distance at which a vehicle sits up off the ground will play a huge role in the machine’s ability to traverse obstacles and different types of terrain.

With their featherweight, nimble handling, and ample suspension travel, dirt bikes already represent some of the most capable go-anywhere vehicles on earth, though the off-road experts over at Christini have taken this concept to the next level, gifting a top-of-the-line 450cc four-stroke dirt bike with a proprietary all-wheel-drive system before decking the machine out in an array of upgraded hardware and componentry.

Since there are many models of ATV’s to choose from, it is important to take the time to find the right ATV for you.

Not every ATV is created equal, each is built with different designs and features and they are created for specific purposes.

Some ATV’s are created for racing, these vehicles are designed for speed and not utility.

Features – In addition to size, there are many other variables that separate one ATV from another.

Talk to your ATV dealers and fully test new features to determine if they are right for you.

Price – Intended use, size, and additional features are all factors that affect the price of an ATV. Once you nail down the first three factors, then you can look at what budget will fit into your category parameters.

If you are likely to upgrade to a larger machine in the next year or so, it is probably a better decision to make a bigger purchase now and use it for years to come, rather than lose money from the depreciation of selling your smaller used ATV. As you prepare for the purchase of your new All-Terrain Vehicle, factors such as intended use, size, features, and price will help in choosing a great ATV for your needs and budget!

Amphibious All-Terrain Vehicles

Long before there were four-wheel all-terrain vehicles and utility vehicles, the off-road world was dominated by amphibious, six-wheel drive machines – the first true ATVs! MAX ATVs have been out there, crawling through and over just about anything in their path, since 1969.

We are very excited to have acquired the highly successful Recreatives Industries MAX range of 6×6 Amphibious All-Terrain Vehicles.

The MAX range of Amphibious ATVs offers a family of solutions that can meet any requirement.

The MAX range comprises the Max II, the MAX IV with an extended chassis and body-form capable of carrying four passengers, and the Buffalo All Terrain Truck which is a rugged utility vehicle offering room for two passengers plus hydraulically tilting flat bed load-carrying capacity.

MAX ATVs exert less than three pounds per square inch of ground pressure fully loaded compared to that of a person, which will typically be 7 pounds per square inch or a 4-wheel drive Jeep at 28 pounds per square inch.

This enables MAX to cross terrain over which it would be difficult even to walk.

Add the MAX Track Kit and ground pressure is reduced to around one pound per square inch, fully loaded! MAX with tracks is truly mobile all year-round on snow, mud and marsh.

All-Terrain Vehicle

The term “ATV” was originally coined to refer to non-straddle ridden, typically six-wheeled, amphibious ATVs, such as the Jiger produced by the Jiger Corporation, the Amphicat produced by Mobility Unlimited Inc, and the Terra Tiger produced by the Allis-Chalmers Manufacturing Company in the mid 1960s and early 1970s.

In 1973, Honda would trademark the term “All Terrain Cycle”, applying the moniker to all Honda produced Three-wheeled ATVs, and creating the universal name which now associated with all vehicles of this type.

ATCs require unique techniques to ride properly, and turning lean requires more exaggeration than ATVs; Throttle steering is another technique commonly used on ATCs in soft terrain and at high speeds, leaning to the inside of the turn and manipulating the throttle to break traction with the rear tires, resulting in the machines turning on axis while maintaining a forward direction.

The United States government maintains a website about the safety of ATVs where safety tips are provided, such as not driving ATVs with a passenger or not driving ATVs on paved roads.

In 1988, the All-terrain Vehicle Safety Institute was formed to provide training and education for ATV riders.

Effective January 1, 2019, the United States Consumer Product Safety Commission updated ATV lighting requirements, now requiring all categories of ATVs to be equipped with a stop lamp and side reflectors, similar to those required on passenger cars.

ATVs registered as an automobile have to be restricted to a power output of 20 hp/15 kW and are allowed to be driven with a passenger, provided a passenger seat is registered in the vehicle papers.

Its acquisition techniques have allegedly included hostile takeover tactics; Melrose has also been publicly criticised for issuing high paying performance linked incentive schemes to its top executives.

In 2003, Melrose Industries was launched on London’s Alternative Investment Market with an initial market capitalisation of £10m; it had been established that same year by three individuals: David Roper, Christopher Miller and Simon Peckham.

During June 2012, Melrose sold McKechnie Plastic Components to Swedish firm Rosti for £30.7m. During August 2012, it acquired Elster, a metering business, for $2.3bn. Melrose To Return £730m To Shareholders

Melrose Industries will return £730m in cash to shareholders from the proceeds of the sale of the buyout group’s US air conditioning unit.

“We have taken a conservative view for the level of the current return of capital, but if markets continue to recover, we expect to announce a further significant return next year,” said Melrose’s chief executive Simon Peckham.

The group has in the past generated substantial returns for executives and shareholders through its focus on buying underperforming manufacturing businesses, restructuring them and selling them on.

Melrose stripped out central management functions and invested in new products at Nortek to help improve its profitability.

The disposal is Melrose’s largest deal since its controversial takeover in 2018 of GKN for £8bn. The £100m injection into GKN’s pension, already flagged in April, will reduce the funding deficit to about £200m. Melrose said it continued to trade in line with expectations ahead of interim results on June 30.

Melrose struck a more upbeat tone than previously about the prospects of a recovery for the aerospace sector, which has been among the hardest hit from the collapse in international travel in the wake of the pandemic.

Peckham has previously said the group would return to look at acquisitions once the Nortek sale was finalised.

Private Network

In Internet networking, a private network is a computer network that uses a private address space of IP addresses.

Private network addresses are not allocated to any specific organization.

Hosts on different sides of a network bridge are also on the same link, whereas hosts on different sides of a network router are on different links.

Their utility is in zero-configuration networking when Dynamic Host Configuration Protocol services are not available and manual configuration by a network administrator is not desirable.

If a host on an IEEE 802 network cannot obtain a network address via DHCP, an address from 169.254.1.0.

In both cases, private addresses are often seen as enhancing network security for the internal network, since use of private addresses internally makes it difficult for an Internet host to initiate a connection to an internal system.

Since the private IPv4 address space is relatively small, many private IPv4 networks unavoidably use the same address ranges.

What Is A Private Network?

What Does Private Network Mean? A private network is any connection within a specified network wherein restrictions are established to promote a secured environment.

Only a selected set of devices can access this type of network depending on the settings encoded in the network routers and access points.

Techopedia Explains Private Network A private network is more of a usage designation rather than a proper network type or topology.

There is not much of a technical difference between a private and a public network in terms of hardware technology and infrastructure, except for the way that access rights and security measures are set up.

It is more complicated to set up a private network due to all the security measures and access restrictions that need to be put in place; sometimes even extra hardware not that’s not required on public networks is used.

Private networks are most preferred in businesses and private organizations because they provide high security for vital information.

Lastly, high-security hardware and applications like firewalls need to be installed, as they can greatly help in making the network private and secure.

Virtual Private Networks Explained

A virtual private network, better known as a VPN, gives you online privacy and anonymity by creating a private network from a public internet connection.

A virtual private network is a key privacy tool that you should use when you’re logging onto the internet from a public place such as a coffee shop, hotel lobby, or any other spot that offers access to free public Wi-Fi. A VPN creates a type of tunnel that hides your online activity, including the links you click or the files you download, so that cybercriminals, businesses, government agencies, or other snoops can’t see it.

What’s the best way to choose a virtual private network? Here are some questions to ask when you’re choosing a VPN provider.

A VPN client makes it easier for users to connect to a virtual private network.

VPN providers use these protocols to make sure that users are able to connect securely to a virtual private network.

You might sometimes hear your virtual private network referred to as a VPN tunnel.

A virtual private network, better known as a VPN, protects your identity and browsing activity from hackers, businesses, government agencies, and other snoops.

A Private Network Vpn?

Creating a virtual private network makes use of public internet traffic to create a completely private internet connection for privacy and anonymity.

Your online behavior is virtually nontraceable because VPNs mask your internet protocol address.

How Do I Get A Private Vpn? There should be a little icon next to VPN in Settings > Network & Internet > Advanced > VPN. The first thing Google notices when you do it on a new phone or if you haven’t yet set up screen locks or passwords for your devices is it promptes you to set up one.

How Do I Setup A Vpn On A Private Server? Make sure that your router allows the VPN entry so that you can access it.

Create the server’s key and certificate pair, with the key from the server and the certificate from the server.

For installation and configuration of OpenVPN, follow these steps.

Definition Of Senior Management By The Free Dictionary

N the most senior staff of an organization or business, including the heads of various divisions or departments led by the chief executive.

Also called: top management Compare middle management.

Senior Management

Senior management, executive management, upper management, or a management is generally individuals at the highest level of management of an organization who have the day-to-day tasks of managing that organization-sometimes a company or a corporation.

Generally, higher levels of responsibility exist, such as a board of directors and those who own the company, but they focus on managing the senior or executive management instead of on the day-to-day activities of the business.

The executive management typically consists of the heads of a firm’s product and/or geographic units and of functional executives such as the chief financial officer, the chief operating officer, and the chief strategy officer.

In project management, senior management authorises the funding of projects.

Senior management are sometimes referred to, within corporations, as executive management, top management, upper management, higher management, or simply seniors.

A top management is a specific form of which typically consists of some of the top managers in a firm.

There is no clear definition to what the top management of an organization is.

The Role And Responsibilities Of Senior Managers

A senior manager has responsibilities and authority that are broader in scope than a front-line manager, and a door is typically open for senior managers to move into a director- or general manager-level role.

Senior managers might guide workers directly or they might direct several supervisors, who in turn directly manage the workers.

Some examples include senior accounting manager, senior marketing manager, senior engineering manager, and senior customer support manager.

The senior manager level or designation represents a step up from the manager and offers the opportunity for individuals to take on new responsibilities and increase their contributions.

Consider a department that includes supervisors, managers who are responsible for supervisors, and senior managers who are responsible for the managers who watch over supervisors.

This position can represent a tangible target or step up as part of a manager’s career development plan and responsibilities when there’s a clear distinction between the role of manager and senior manager.

The senior manager can also support managers and take on responsibility for discrete work teams when the span of control for a group’s managers is too broad. This role is an expansion of the typical manager’s role in terms of the breadth of responsibilities and overall accountability.

Management at all levels shall demonstrate its commitment to the establishment, implementation, assessment and continual improvement of the management system and shall allocate adequate resources to carry out these activities.

Senior management shall develop individual values, institutional values and behavioural expectations for the organisation to support the implementation of the management system and shall act as role models in the visible promulgation of these values and expectations.

Management at all levels shall communicate to individuals the need to adopt to these individual values, institutional values and behavioural expectations as well as to comply with the requirements of the management system.

Senior management shall ensure that it is clear when, how and by whom decisions are to be made within the management system.

Senior management in the organisation shall be ultimately responsible for the management system and shall ensure that it is established, implemented, assessed and continually improved.

3.13.An individual reporting directly to senior management shall have specific responsibility and authority for: Coordinating the development and implementation of the management system, and for its assessment and continual improvement; Reporting on the performance of the management system, including its influence on safety and safety culture, and any need for improvement; Resolving any potential conflicts between requirements and within the processes of the management system.

IAEA 12 GS-R-3 – Provision of Resources 4.1.Senior management shall determine the amount of resources necessary and provide the resources to carry out the activities of the organisation and to establish, implement, assess and continually improve the management system.

Many homeowners have found that a reverse mortgage is a great way for them to take advantage of the equity they have built up in their homes.

A reverse mortgage is different than a traditional mortgage.

With a traditional mortgage you make monthly mortgage payments, but with a reverse mortgage the lender pays you money through monthly installments, a one-time lump sum payment, a line of credit or a combination of a line of credit and monthly installments.

One of the great advantages of a reverse mortgage is that you are not required to pay the loan back until the home is no longer your primary residence.

Another great feature of a reverse mortgage is you can never owe more than the value of your home.

Post Idea #24: Consumer debt

Consumer Debt Definition

Consumer debt consists of personal debts that are owed as a result of purchasing goods that are used for individual or household consumption.

Credit card debt, student loans, auto loans, mortgages, and payday loans are all examples of consumer debt.

Consumer loans can be extended by a bank, the federal government, and credit unions, and are broken down into two categories: revolving debt and non-revolving debt.

Consumer debt is considered a financially suboptimal means of financing because the interest rates charged on the debt, such as credit card balances, are extremely high when compared to mortgage interest rates.

An opposite view is that consumer debt results in increased consumer spending and production, thereby growing the economy, and achieves a smoothing of consumption.

As of September 2020, consumer debt was $4.16 trillion, with $3.17 trillion in non-revolving debt and $988.6 billion of revolving debt.

The consumer leverage ratio measures the amount of debt that the average American consumer holds, compared with their disposable income.

Current US Consumer Debt December 2021

In December 2021 U.S. consumer debt preliminary numbers showed an increase of 5.9% annually to more than $4.43 trillion, hitting a quarterly record.

Revolving debt in February 2020 was close to 26% of the total debt compared to almost 38% of the total debt in May 2008.

Credit card debt is revolving debt because it’s meant to be paid off each month.

Credit Card Debt Credit card debt rose due to the Bankruptcy Protection Act of 2005.

Student Loans Rising student loan debt has been one of the most discussed types of debt in the last decade.

It helped boost non-revolving debt from about 62% of all consumer debt in May 2008 to about 74% in February 2020.

In December 2021, non-revolving debt stood at about 77% of all consumer debt.

What Is Consumer Debt?

Consumer debt, as its name implies, is the amount of total debt held by consumers, meaning private individuals as opposed to governments or businesses.

Americans carry quite a lot of consumer debt: according to the New York Fed, total household debt sat at $14.27 trillion in the second quarter of 2020-which, shockingly, represents a decrease of 0.2%. Mortgage balances comprise the largest portion of that total, accounting for $9.78 trillion, more than half of American consumer debt, on their own.

Student loan debt takes the silver medal, accounting for another $1.5 trillion of the total, while credit card debt accounts for about $820 billion.

While “Debt” doesn’t tend to have good connotations when brought up in conversation, some consumer debt is just about impossible to avoid in our society, and it’s not always a financial emergency.

As mentioned above, mortgage balances make up the largest portion of the U.S. consumer debt total by a wide margin-and mortgages have long been considered a “Good” kind of debt to get into, thanks to the tendency of real estate to appreciate in value.

Student loans are a reality for millions-as mentioned above, they’re the second-largest component of the U.S. consumer debt total.

While going into debt to get educated certainly sounds like a noble cause the burden of student debt can wreak larger financial havoc on borrowers.

Consumers ended 2021 with record levels of debt, leading into a year in which interest rates are expected to rise substantially.

Total debt at the end of the year came to $15.6 trillion, an increase of $333 billion in the fourth quarter and just over $1 trillion for the year, according to data released Tuesday from the Federal Reserve’s New York district.

The increases came ahead of a period in which the Fed is expected to start jacking up interest rates as it looks to tamp down inflation running at its fastest pace in nearly 40 years.

A large chunk of the debt load increase came from mortgages, which saw balances rise by $890 billion for the year and $258 billion in the fourth quarter, to nearly $11 trillion.

Mortgage originations for the year totaled more than $4.5 trillion, a new record.

Credit card balances increased by $52 billion in the final three months of the year, a new quarterly record that brought total debt in that category to $860 billion.

New auto prices rose 11.8% for the year while used vehicles soared by 37.3%, according to Labor Department data.

The U.S. Consumer Debt Crisis

Non-housing debt has risen faster, increasing 51% since 2013 compared with a 24% increase in mortgage debt.

Credit card debt actually fell in 2020, the first drop in any major consumer debt category in seven years.

Debt consolidation or debt settlement could help you achieve that goal of getting out of debt.

The state has the nation’s fourth-best average mortgage debt, 18th best in average credit-card debt and 23rd best average student loan debt.

Its 720 average FICO score is 18th nationally and its average student loan debt ranks 22nd. Pennsylvania laws are weak when it comes to consumer rights and protections, leading to problems such as high rates of identity theft.

Virginia is ranked high in credit-card debt, mortgage debt and student-loan debt.

While the statisticians can supply us with a plethora of facts and on how much debt Americans are in, the human costs of America’s debt problem – though real and serious – are harder to calculate.

Bodybuilding Supplement

Bodybuilding supplements are dietary supplements commonly used by those involved in bodybuilding, weightlifting, mixed martial arts, and athletics for the purpose of facilitating an increase in lean body mass.

The 1970s and 1980s marked a dramatic increase in the growth of the bodybuilding supplement industry, fueled by widespread use of modern marketing techniques and a marked increase in recreational bodybuilding.

In October 1994, the Dietary Supplement Health and Education Act was signed into law in the USA. Under DSHEA, responsibility for determining the safety of the dietary supplements changed from government to the manufacturer and supplements no longer required approval from the U.S. Food and Drug Administration before distributing product.

The US FDA reports 50,000 health problems a year due to dietary supplements and these often involve bodybuilding supplements.

The incidence of liver damage from herbal and dietary supplements is about 16-20% of all supplement products causing injury, with the occurrence growing globally over the early 21st century.

The most common liver injuries from weight loss and bodybuilding supplements involve hepatocellular damage with resulting jaundice, and the most common supplement ingredients attributed to these injuries are catechins from green tea, anabolic steroids, and the herbal extract, aegeline.

Other products by supplement designer and CEO of Driven Sports, Matt Cahill, have contained dangerous substances causing blindness or liver damage, and his pre-workout supplement Craze was found to contain illegal stimulants that resulted in several athletes failing drug tests.
