Bill Ackman Calls It Quits On His Giant SPAC Days After Shareholder Lawsuit
Billionaire investor Bill Ackman said he’s throwing in the towel on his giant blank-check company – just days after he was slapped with a shareholder lawsuit that claims it was set up illegally.
In a Thursday letter to shareholders of his $4 billion special-purpose acquisition company, or SPAC, called Pershing Square Tontine Holdings, Ackman told investors he plans to return their money and blames the lawsuit for ruining his chances of closing a deal to buy a 10-percent stake in Universal Music Group.
The lawyers who brought the suit, former SEC commissioner Robert Jackson and Yale Law professor John Morley, allege Ackman’s SPAC has been illegally acting as an investment company instead of an operating company, also alleging that Ackman has improperly positioned himself to reap hundreds of millions of dollars in fees.
Ackman said “All is not lost,” noting that Pershing is “Working on obtaining approval” from the Securities and Exchange Commission for an entirely new kind of blank check company – a SPARC or special purpose acquisition rights company, which only asks investors for cash if it finds a deal.
Ackman, who has just 11 more months to find a target before he will be forced to return money to shareholders, said the vehicle could be approved by the SEC “Shortly.” If the SPARC is approved, Ackman will return investors the $20 per share they spent and give them a warrant to buy into the SPARC when it closes a deal.
Early Friday morning Ackman posted on Twitter how a SPARC would preserve optionality for shareholders by letting them by into the deal when the timing made sense.
In June, Ackman announced he’d use his SPAC to buy the UMG stake after nearly a year of searching for a target.

Equities will continue to represent Balyasny’s largest allocation, and Corbets will be measured by the same metrics as the fund’s current long-short teams.

Turbulent Times Upend Hedge Funds
Hedge funds hoping for a brighter start to the year after a largely underwhelming 2021 have instead been handed a whole new set of market problems to deal with.
Funds were on average down 2 per cent this year to Wednesday, according to data group HFR. “There’s an enormous amount happening,” said Kevin Russell, chief investment officer at UBS O’Connor, which manages $11.2bn in hedge fund assets.
“Sharply falling growth stock valuations, declining hedge fund leverage, retail selling, worsening equity market liquidity, and the underperformance of popular hedge fund long positions have created a vicious cycle in recent months,” wrote Goldman Sachs in a recent note.
Hedge funds “Were not positioned well, at the sector level”, for the outbreak of war, wrote Morgan Stanley in a client note, pointing out that funds had been holding large positions in sectors such as banks, travel and luxury.
After a bumper 2020 when hedge funds came through the onset of the coronavirus pandemic largely unscathed, last year was meant to be the year when the industry kicked on and took advantage of stocks mispriced by the previous year’s volatility and a return to more normal market conditions.
While the S&P 500 rose nearly 27 per cent, to the delight of investors holding low-cost tracker funds, hedge funds returned a more modest 10.2 per cent, according to HFR. Compact EV manufacturer ElectraMeccanica has announced a new partnership with autonomous technology startup Faction Technology, Inc. Through the partnership, ElectraMeccanica will provide its SOLO EVs to a pilot program that will test Faction’s self-driving platform as it relates to autonomous food deliveries and vehicles on demand.
ElectraMeccanica Vehicles Corp. is an EV designer and manufacturer based in Vancouver, BC and has been working since 2015 to deliver its three wheeled, single-passenger EV called the SOLO. Peabody Energy Corp. shares were down 8% to $24.31 Monday after the company said it has entered into a financing arrangement with Goldman Sachs providing for a $150 million unsecured multiple draw credit facility.
The coal-producing company said the new arrangement will support its potential near-term liquidity requirements related to its economic coal hedge positions.
The majority of these contracts were entered into in the first half of 2021 and relate to 1.9 million metric tons of production at the Wambo underground mine in the company’s seaborne thermal segment.
The company said the hedge contracts were put in place to support the profitability of the mine, securing anticipated average prices of $84 a metric ton through mid-2023.
High demand and tight supply for coal globally has resulted in a substantial rise in seaborne thermal coal prices, which has been amplified by the Russian-Ukrainian conflict resulting in unprecedented upward volatility in Newcastle coal pricing since late February, Peabody said.
The new credit facility, along with available cash, will support the company’s near-term liquidity requirements in the event of additional increases in the underlying market coal price.

ST. LOUIS – Coal giant Peabody surprised the industry last week with its announcement that it was getting into renewable energy.
In its launch on Tuesday of the renewable energy development company R3 Renewables, it touted its financial backing and “Extensive” land holdings, and said it would start with the development of six sites on or near old coal mines in Indiana and Illinois.
“This is what’s happening on the power grid. Coal is getting replaced by renewables for economic reasons.”
Old coal mines offer the land and available space that’s critical for renewable energy projects.
Peabody is not the only major coal company to recently reshuffle its hand and take its business in a new direction, after years of significant economic struggles for the fossil fuel.

China’s Graphex Group, a maker of graphene products for EVs and clean energy storage, is planning to uplist its American Depositary Shares and hold a public offering on the NYSE. Graphex said in a filing that it hopes to trade on the NYSE under the symbol GRFX. The size and pricing of the deal was not disclosed, but the company indicated it hoped to raise at least $21M. Graphex intends to leverage its high-volume manufacturing capability and product technology, protected by 25 patents, to capitalize on the forecasted growth of EV and stored energy lithium ion batteries, in addition to developing future graphene applications.
“Renewable energy technology, especially its storage, is still a relatively new market,” explained Andross Chan, CEO, Graphex Group.
“Determining how to best use renewable energy while integrating it with urban and public space design, along with exploring methods to increase efficiency in both the use and storage of renewable energy, is the development objective of our company.”
The Company launched the ‘Recharging City’ and ‘Recharging Park’ projects, in which a renewable energy storage city and park are designed to transform the living environment through the circulation of renewable energy, potentially bringing enormous improvements to the sustainability of the world.
“With the country’s commitment to international emission reductions, renewable energy constructions represent the future of China’s power market. This makes the construction of grid-side energy storage even more indispensable, thereby increasing demand for lithium batteries in the energy storage industry. Valente, the former senior vice-president at EG&G, a Fortune 500 company, provides Palomar Medical with the managerial stability and financial expertise needed for the company to develop into one of the premier firms in the cosmetic laser services and treatment industry.
