The Climate Action 100+ Initiative, supported by the world’s biggest investors, is calling on all companies to align their business plans with the goals of the Paris Agreement.

The lawsuit claims the failure puts the directors in breach of their duties under the UK’s Companies Act.If successful, Shell’s board could be forced by the courts to change its strategy, taking specific concrete steps to align its plan with the Paris deal.
ClientEarth has said it is taking the action against Shell in the company’s best interests.
Paul Benson, a ClientEarth lawyer, said: “It’s the first of its kind, this case. It’s the first time that anyone has sought to hold the board accountable for failing to properly prepare for the net zero transition.”
In May 2021, a Dutch court ruled the company must reduce its emissions – including those from the fuel it sells – by 45% by the end of 2030.But Shell’s directors have appealed against that verdict and published an “Energy transition strategy” outlining the company’s aim to reach net zero by 2050 – a transition it describes as “In step with society”.
“Shell is actually really quite exposed to the risks of climate change those are physical risks and transitional risks. They are exposed to what we call stranded asset risk, where their assets – for example their facilities, their physical infrastructure – the value of that is just going to reduce or it will become a liability as the net zero transition progresses.”And they are exposed to massive write-downs of those assets.

LONDON – Environmental lawyers ClientEarth said on Tuesday they were preparing legal action against the directors of Shell over the company’s climate transition plan, in what they said would be the first such case of its kind.
The ClientEarth lawyers said they are seeking to hold the directors personally liable for what they consider to be a failure to adequately prepare for the global shift to a low-carbon economy, claiming an alleged breach of the directors’ duties under the UK Companies Act.
“Addressing a challenge as big as climate change requires action from all quarters. The energy supply challenges we are seeing underscore the need for effective, government-led policies to address critical needs such as energy security while decarbonising our energy system. These challenges cannot be solved by litigation,” Shell said.
Shell’s net-zero target was also not reflected in the company’s operating plans or budgets, ClientEarth added.
The quality of the company’s climate transition plan has already been challenged by a court in the Netherlands which last year ordered it to go further.
ClientEarth said it was pursuing Shell’s directors for an alleged breach of the UK Companies Act, which requires them to act in a way that promotes the company’s success, and to do so whilst exercising reasonable care, skill and diligence.
ClientEarth said it was bringing the action as a shareholder in Shell on behalf of all stakeholders to help protect the long-term viability of the company.
Climate Group Prepares Legal Action Against Shell Directors
Shell’s board of directors bear personal responsibility for not preparing to cut emissions fast enough, an environmental shareholder group has claimed in the first significant attempt to hold individual executives legally accountable for alleged failures to tackle climate change.
ClientEarth, a Shell shareholder, notified the energy major on Monday that it would commence legal proceedings against the company’s 13 executive and non-executive directors for what it said was the board’s failure to adopt a strategy that “Truly aligns” with the 2015 Paris climate agreement.
The new legal action comes less than a year after Shell lost a landmark climate case in the Netherlands, where it was ordered by a court to reduce its emissions by 45 per cent by 2030 compared with 2019 levels.
Shell has said it will cut emissions from its own operations by more than the court has ordered but has appealed against the decision.
ClientEarth argues these commitments are not consistent with the Paris Agreement’s aim to limit any global temperature increase to 1.5C above pre-industrial levels and that Shell’s directors are in breach of their obligations under the UK Companies Act to “Act in a way that promotes the company’s success”.
Climate litigator Roger Cox, who is not involved in ClientEarth’s proceedings but led the Dutch case against Shell last year, said the effort by a shareholder to hold board directors personally accountable was part of a “Paradigm shift” in how society viewed corporate responsibility for climate change.
ClientEarth is encouraging institutional investors to join or support its claim ahead of Shell’s annual meeting in May. “Shell’s shareholders need certainty that the company is using their capital effectively in its navigation of the global energy transition and is genuinely pursuing the climate goals that it says it is,” Benson said.

Absent is unfortunately temporary…. I do not want ot disable the touchpad so that it no longer works, I want to keep Dell’s own Alps Electric app/driver from being here at all, and use Microsoft default drivers instead, and continue to use the touchpad in a functional, usable way.
